備受矚目的中國南車、中國北車的合并案近期由于高管及家屬在停牌前買賣各自或對方股票引起輿論的關注。

Media reports have suggested that more than 20 executives of the two companies — CNR Corp Ltd and CSR Corp Ltd — and their relatives have been found to have bought and sold stocks in each company during the six-month period prior to their trading suspension in October last year before the announcement of the merging plan.

媒體報道指出，在宣布南北車合并計劃前，中國南車股份有限公司和中國北車股份有限公司超20名高管及其親屬在去年十月停牌前六個月間買賣各自或對方股票。

“停牌”的英文表達是trading suspension。停牌是指股票由于某種消息或進行某種活動引起股價的連續(xù)上漲或下跌，由證券交易所暫停其在股票市場上進行交易。待情況澄清或企業(yè)恢復正常后，再復牌在交易所掛牌交易?！皬团啤钡挠⑽谋磉_是resume trading。

南北車高管此舉被指涉嫌insider trading（內幕交易），給南北車雙方的合并蒙上了陰影。南北車合并的目的是為了避免兩者在國際市場上的price competition（價格戰(zhàn)）。合并有利于優(yōu)化兩者的technological edges, human capital and production capacity（技術優(yōu)勢、人力資本和生產(chǎn)能力）。
